Terms of Engagement.
These terms describe what Qualimetrix delivers, what it does not warrant, and how an engagement begins and ends. They are drafted for review and are not in force until published by Qualimetrix.
Scope of agreement
These terms apply to assessments, releases and deployments provided by Qualimetrix. A signed order document names the workload, the boundary, the deliverables and the fees, and takes precedence over these terms where the two differ.
What is delivered
The deliverable is a governed counterpart, a deployment, or both, with an evidence record stating methods, parameters, results and limitations. Delivery is complete when the named owner accepts that record.
What is not warranted
Qualimetrix does not warrant fitness for a purpose it has not measured, does not certify compliance with any framework, and does not warrant that testing establishes the absence of every future attack. Complete behavioural replication of an enterprise system is not a product claim.
Customer responsibilities
The customer determines the lawful basis for processing its data, names the approving owner, and provides accurate scope information. Qualimetrix relies on that scope when producing evidence.
Intellectual property
Qualimetrix retains rights in the suite, its models and its methods. The customer retains rights in its source data and receives a licence to use the counterparts and evidence records for the purposes named in the order document.
Confidentiality
Each party keeps the other’s confidential information in confidence and uses it only for the engagement. Qualimetrix publishes no customer names, logos or testimonials.
Liability
Liability is limited as set out in the order document, [cap and exclusions to confirm]. Nothing excludes liability that cannot be excluded under Dutch law.
Term and termination
An engagement runs for the term in the order document. Either party may terminate for material breach that is not remedied within [period to confirm]. On termination, engagement artefacts are returned or deleted as the agreement requires.
Governing law
Dutch law governs these terms. Disputes are submitted to the competent court in [Amsterdam, to confirm].
